These Terms & Conditions (“Terms”) govern your access to and use of our software, websites, mobile applications, and related services (collectively, the “Services”). By accessing or using our Services — including making payments via Stripe, 2Checkout, or other processors — you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By clicking “I Agree,” registering an account, or using any part of the Services, you confirm that:

• You are at least 18 years old or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You accept these Terms and our Privacy Policy

2. Account Registration

You may need to register for an account to access certain Services. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information promptly
• Keep your password confidential and notify us immediately of unauthorized use

We reserve the right to suspend or terminate accounts for inaccurate, fraudulent, or illegal activity.

3. Subscription & Payments

a. Fees & Billing

• Fees for Services are as stated on our website or in your subscription plan.
• All payments are processed securely via third-party payment processors (e.g., Stripe, 2Checkout). We do not store your full credit card details.
• You authorize us to charge your selected payment method for recurring subscriptions, applicable taxes, and fees.

b. Subscription Management

• Subscriptions auto-renew unless canceled before the renewal date.
• You may cancel anytime via your account dashboard or by contacting support. No refunds for partial months.

c. Taxes

You are responsible for all applicable taxes, except those based on our net income.

4. Refunds & Cancellations

We offer refunds at our sole discretion. Typically:

• No refunds for monthly/annual subscriptions once the billing cycle begins
• Pro-rated refunds may be considered for annual plans canceled within 30 days
• No refunds for one-time purchases or custom development work

5. Intellectual Property

All software, content, trademarks, and materials on or within the Services are owned by or licensed to us. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes — not for resale, reverse engineering, or commercial exploitation.

6. Prohibited Conduct

You agree not to:

• Violate any laws or third-party rights
• Use bots, scrapers, or automated tools without permission
• Interfere with the Services’ security or functionality
• Resell or sublicense access without written consent
• Upload malicious code or engage in fraudulent activity

7. Third-Party Services

Our Services may integrate with or link to third-party platforms (e.g., Stripe, 2Checkout, Google, AWS). We are not responsible for their content, privacy policies, or practices. Review their terms separately.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 6 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless Soft Solution Media, its affiliates, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Services ceases immediately. Sections 5 (Intellectual Property), 8–12 (Disclaimers, Liability, Indemnity, Governing Law, etc.) survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Dhaka, Bangladesh.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
